A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. NON-PURCHASE ENTRIES AND PURCHASE ENTRIES HAVE AN EQUAL CHANCE OF WINNING.
SWEEPSTAKES TIMING: The Holiday Save & Match Sweepstakes (the “Sweepstakes”), which is being held on the Payactiv Mobile App (“Payactiv App”), the UKG Wallet App (“UKG Wallet App”), and the Onshift Wallet Mobile App (“Onshift Wallet App”) (collectively, “Participating Apps”) begins at 12:00 AM Pacific Time (“PT”) on October 1, 2025 and ends at 11:59 PM PT on November 30, 2025 (the “Sweepstakes Period”).
ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of the date of entry. Employees, officers, and directors of Payactiv, Inc. (the “Sponsor”), its parents, subsidiaries, divisions, affiliates, suppliers, distributors, advertising, and promotional agencies (collectively, the “Sweepstakes Entities”), and their immediate family members (spouses, parents, partners, children including foster and step-relations, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or win. Void where prohibited or restricted by law. To qualify, participants must be employees of an employer that is offering Payactiv services, UKG Wallet, or Onshift Wallet services and has agreed to participate in the sweepstakes (a “Participating Employer”). All federal, state, and local laws and regulations apply.
HOW TO ENTER: There are two (2) ways to enter:
1. TO ENTER WITH A PARTICIPATING APP:
A. Must be an employee of a Participating Employer to qualify.
B. Download one of the Participating Apps (Payactiv, UKG Wallet, or Onshift Wallet).
C. Sign up and create your Payactiv, UKG Wallet, or Onshift Wallet account.
D. Apply1 for the Payactiv Visa® Card, UKG Visa Card, or Onshift Wallet Visa Card.
E. Link the card once it is received and activated to your Payactiv, UKG Wallet, or Onshift Wallet account on the app.
F. Set up at least one Saving Goal2 using your Payactiv Visa Card, UKG Visa Card, or Onshift Wallet Visa Card within the app by June 15, 2025.
2. TO ENTER BY MAIL WITHOUT PURCHASE OR OBLIGATION: Hand-print your complete name, Participating Employer name, street address, city, state, ZIP code, daytime and evening telephone numbers (including area code), and a valid email address, on a plain piece of 3” x 5” paper, and mail it in a business-size (#10) envelope with sufficient postage affixed, to: Holiday Save & Match Sweepstakes, 400 N. McCarthy Blvd., Suite 100, Milpitas, CA 95035. Mailed entries must be postmarked during the Sweepstakes Period, and received by November 30, 2025, in order to be included in the random drawing. Each mailed entry will count as one (1) entry into the random drawing and must be mailed in a separate, postmarked-and-stamped envelope. LIMIT UP TO ONE (1) MAILED ENTRY PER PERSON DURING THE SWEEPSTAKES PERIOD. Entries in excess of the stated limitation or that are mechanically reproduced, copied, illegible, incomplete, or inaccurate and entries by any means which subvert the entry process are void. Entries become the property of the Sponsor and will not be acknowledged or returned. Incomplete entries or entries not complying with these Official Rules are subject to disqualification, at the Sponsor’s sole discretion. Proof of mailing does not constitute proof of delivery.
Limit of one (1) entry per person/email address, regardless of method of entry. Use of computer programs and other automatic means to enter the Sweepstakes is prohibited. Any attempt by any entrant to obtain more than one (1) entry by using multiple/different email addresses, identities, registrations and logins, or any other methods will void such entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Normal Internet access and usage charges imposed by your online service may apply.
RANDOM DRAWING/ODDS: For each Participating Employer, one (1) potential Grand Prize winner (“Potential Winner”) will be selected in a random drawing each month from October 1 to November 30, 2025, from among all eligible entries received during the Sweepstakes Period. The drawings will take place on or around November 5 and December 5, 2025, and the prize will be distributed within ten (10) business days following the drawing, provided that successful communication has been made with the Potential Winner and all requirements outlined in the subsequent section have been fulfilled. The drawing will be conducted by the Sponsor, whose decisions are final on all matters relating to the Sweepstakes. Odds of winning are dependent on 1.) the number of eligible employees employed by Participating Employers, and 2.) the number of eligible entries received each month during the Sweepstakes Period. All prizes will be awarded, and the Potential Winner(s) will be notified by e-mail/phone within three (3) business days. The Potential Winner(s) may be required to digitally complete and securely sign and submit an IRS FORM 1099-MISC (if applicable) and a Declaration of Compliance, Liability Waiver, and Publicity Release (where legal) (collectively, the “Declaration”), including physical address, within forty-eight (48) hours of notification. Non-compliance within this time frame and/or with these Official Rules, Sponsor’s inability to contact Potential Winner(s) within a reasonable time period, or prize notification returned as undeliverable will result in such Potential Winner’s disqualification and, at Sponsor’s discretion, the prize(s) may be awarded to alternate Potential Winner(s).
PRIZES AND APPROXIMATE RETAIL VALUES: A total of two (2) Grand Prizes per Participating Employer: The estimated value of each Grand Prize is contingent upon the Potential Winners’ saving goal balance and limited to a maximum prize value of $250. The prize will be deposited to the Potential Winners’ Payactiv Visa Card, UKG Visa Card, Onshift Wallet Visa Card, debit card, or bank account, any of which must be linked to the Potential Winners’ respective Participating App Account to receive a prize. If a Potential Winner has multiple such payment methods linked to his or her Participating App Account, the prize will be awarded in the order of preference set forth above: (1) Payactiv Visa Card, UKG Visa Card, or Onshift Wallet Visa Card as applicable, (2) debit card, and (3) bank account. If the Potential Winner does not have an open Payactiv Visa Card, UKG Visa Card, Onshift Wallet Visa Card, bank account, or debit linked to their Participating Apps, the prize will be awarded in the form of a check and mailed to the address provided by the Potential Winner. In the event the prize award is returned to the Sponsor, or if Sponsor is unable to contact the Potential Winner for the correct mailing address, the Potential Winner will be disqualified and an alternate Potential Winner will be selected at random from among all remaining eligible entries received at Sponsor’s sole discretion. The value of any prize may be taxable to the winner as income. The Sponsor is not and shall not be considered as having provided tax advice. Sponsor will issue Winners an IRS FORM 1099-MISC for the value of any Prize valued at $600 or more, and, prior to the disbursement of their Prize, such Winners must complete IRS FORM 1099-MISC. Winners are solely responsible for reporting and paying any and all applicable taxes, which may be significant. In the event it is deemed during the verification process that the Winner(s) do not have a unique, personal, and valid Social Security number (SSN) for Sponsor to report the tax liability associated with acceptance of the Prize, he/she will be disqualified, and an alternate Potential Winner will be selected at random from among all remaining eligible entries received at Sponsor’s sole discretion. Validity of Winner’s Social Security number will be determined by IRS requirements. Prizes cannot be assigned or transferred to a third party.
GENERAL RULES: By participating in the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sponsor. The Potential Winner(s) will be contacted via phone and/or email and may be required to confirm their address within three (3) days of notification attempt or prize will be forfeited and an alternate will be selected. If a prize or prize notification is returned as non-deliverable, or if a Potential Winner fails to satisfactorily respond to the prize notification within the required period, an alternate Potential Winner will be selected and contacted (in accordance with these Official Rules). If the Potential Winner does not comply with the Official Rules, then the Potential Winner may be disqualified, and an alternate Potential Winner will be selected and contacted (in accordance with these Official Rules). The Potential Winner(s) are subject to verification by Sponsor, whose decisions as to the administration and operation of the Sweepstakes and the selection and confirmation of the Potential Winner(s) are final and binding in all matters related to the Sweepstakes. Acceptance of a Prize constitutes permission for the Sponsor and its agencies to use the Winner’s name and/or likeness for purposes of advertising and trade in any and all media now known or otherwise developed without further compensation or review, including a “Winner List,” unless prohibited by law. Sponsor is not responsible for printing or typographical errors in these Official Rules or any Sweepstakes-related materials. In the event there is a discrepancy or inconsistency between disclosures or other statements (in any and all media/medium) contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control. Entries become the property of the Sponsor. The Sponsor and its agencies are not responsible for technical, hardware, software or telephone incompatibility or malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the user or by any of the software, products, equipment, or programming associated with or utilized in the Sweepstakes or by any human error which may occur in the processing of (or failure to process) the entries in the Sweepstakes or for any liability for damage to any computer system resulting from participation in connection with the Sweepstakes. In the event of a dispute as to any entry, the authorized account holder of the email account used to register will be deemed to be the entrant. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The Potential Winners may be required to show proof of being the authorized account holder of the account associated with the entry. Proof of submission of entry does not constitute proof of delivery or receipt of such information, or eligibility for the Sweepstakes. The Sponsor is not responsible for the failure of any email or entry to be received by the Sponsor for any reason. The Sweepstakes Entities are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with or abuses the entry process or any aspect of the Sweepstakes; violates the Official Rules; is suspected of cheating, fraud, or acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any entrant who uses or is suspected of using cheating, fraudulent means, unauthorized entry methods, or otherwise attempts to enter more times than permitted by the Official Rules, or with multiple identities, e-mail, and/or addresses will be disqualified. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes causing malfunction, error, disruption, or damage may be a violation of criminal and civil law, and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules or the Declaration shall not constitute a waiver of that or any other provision. If, for any reason, the Sweepstakes is not capable of running as planned, or the integrity and/or feasibility of the Sweepstakes is undermined by any event, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures, fire, flood, epidemic, pandemic, public health crisis (e.g., COVID-19), earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order or regulation, order of any court or jurisdiction, or by other cause not reasonably within Sponsor’s control (each a “Force Majeure” event), Sponsor shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes without further obligation. If this Sweepstakes is terminated before the end of the Sweepstakes Period, Sponsor will (if possible) select the Potential Winner in a random drawing from all eligible, non-suspect entries received as of the date of the Force Majeure event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. By participating in the Sweepstakes, the entrant agrees that the Sponsor, their respective parents, subsidiaries, affiliates, agents, representatives, suppliers, distributors, and advertising and promotional agencies, and all of their respective shareholders, officers, directors, employees, members, representatives, agents, successors, and assigns (collectively, the “Released Parties”) will have no liability whatsoever and will be released and held harmless by entrant for any threatened or actual claims, actions, and liability for any bodily injury, loss, cost, or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from entry creation, the acceptance, possession, use, or misuse of the Prize(s), if applicable, or participation in the Sweepstakes or in any related activity. By entering the Sweepstakes, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents and agree to be bound thereto.
GOVERNING LAW, BINDING ARBITRATION, AND CLASS ACTION WAIVER: Except to the extent pre-empted by federal or other applicable state law, the Sweepstakes shall be governed by the laws of the State of California, without giving effect to any conflict of law provisions thereof. By participating in the Sweepstakes, entrants agree that any and all disputes which cannot be resolved between entrant and the Released Parties and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, by binding arbitration in accordance with the rules of the American Arbitration Association. Each Released Party knowingly, voluntarily, and intentionally waives its right to a trial by jury in any action or other legal proceeding arising out of or relating to this Agreement. Each Released Party shall submit to a court of competent jurisdiction to enforce any arbitration award.
PRIVACY: Any personally identifiable information collected during your participation in this Sweepstakes will be collected by Sponsor and used by it and its agents for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules, for any additional opt-in information you agreed to upon participation, and in accordance with Sponsor’s Privacy Policy, posted at https://www.payactiv.com/privacy-policy/ and as allowed by law.

2. Límite de una (1) participación por persona/dirección de correo electrónico, independientemente del método de participación. Queda prohibido el uso de programas informáticos y otros medios automáticos para participar en el sorteo. SORTEO AL AZAR/PROBABILIDADES: Para cada empresa participante, se seleccionará un (1) potencial ganador del Gran Premio (“Ganador Potencial”) en un sorteo aleatorio cada mes desde el 1 de octubre hasta el 30 de noviembre de 2025, de entre todas las inscripciones elegibles recibidas durante el período del Sorteo. Los sorteos tendrán lugar alrededor del 5 de noviembre y el 5 de diciembre de 2025 y el premio se distribuirá en un plazo de diez (10) días hábiles tras el sorteo, siempre que se haya establecido una comunicación satisfactoria con el posible ganador y se hayan cumplido todos los requisitos descritos en la siguiente sección. El patrocinador llevará a cabo el sorteo y sus decisiones serán definitivas en todos los asuntos relacionados con el sorteo. PREMIOS Y VALORES MINORISTAS APROXIMADOS: Un total de dos (2) Grandes Premios por empresa participante: el valor estimado de cada Gran Premio depende del saldo de la meta de ahorro de los Ganadores Potenciales y está limitado a un valor máximo del premio de $250. El premio se depositará en la tarjeta Visa Payactiv, la tarjeta Visa UKG, la tarjeta Visa Onshift Wallet, la tarjeta de débito o la cuenta bancaria de los posibles ganadores, cualquiera de las cuales debe estar vinculada a la respectiva cuenta de la aplicación participante de los posibles ganadores para recibir un premio. Si el ganador potencial no tiene una tarjeta Visa Payactiv, una tarjeta Visa UKG, una tarjeta Visa OnShift Wallet, una cuenta bancaria o un débito abierto vinculado a sus aplicaciones participantes, el premio se otorgará en forma de cheque y se enviará por correo a la dirección proporcionada por el ganador potencial. Los ganadores son los únicos responsables de declarar y pagar todos los impuestos aplicables, que pueden ser importantes. NORMAS GENERALES: al participar en el sorteo, los participantes aceptan regirse por estas reglas oficiales y las decisiones del patrocinador. Se contactará con los posibles ganadores por teléfono o correo electrónico y es posible que se les pida que confirmen su dirección en un plazo de tres (3) días a partir del intento de notificación, o se perderá el premio y se seleccionará a otro posible ganador. Si un premio o una notificación de premio se devuelve por no poder entregarse, o si un posible ganador no responde satisfactoriamente a la notificación de premio en el plazo requerido, se seleccionará y contactará a un posible ganador alternativo (conforme a estas Normas oficiales). Si el posible ganador no cumple con las Normas oficiales, podrá quedar descalificado y se seleccionará y contactará a un posible ganador alternativo (conforme a estas Normas oficiales). El/los posible(s) ganador(es) está(n) sujeto(s) a la verificación del patrocinador, cuyas decisiones en cuanto a la administración y el funcionamiento del sorteo y la selección y confirmación del/de los posible(s) ganador(es) son definitivas y vinculantes en todos los asuntos relacionados con el sorteo. La aceptación de un premio constituye un permiso para que el patrocinador y sus agencias utilicen el nombre y/o la imagen del ganador con fines publicitarios y comerciales en cualquier medio conocido en la actualidad o desarrollado posteriormente, sin compensación o revisión adicional, incluida una “lista de ganadores”, a menos que lo prohíba la ley. En caso de disputa sobre cualquier participación, se considerará que el participante es el titular autorizado de la cuenta de correo electrónico utilizada para registrarse. Se considerará titular autorizado de la cuenta a la persona física a la que un proveedor de acceso a Internet, un proveedor de servicios u otra organización en línea responsable de asignar direcciones de correo electrónico para el dominio asociado a la dirección de correo electrónico enviada haya asignado una dirección de correo electrónico. Es posible que se solicite a los posibles ganadores que demuestren que son titulares autorizados de la cuenta asociada a la participación. El comprobante de envío de la participación no garantiza la entrega o recepción de la información, ni que se cumplan los requisitos para participar en el sorteo. El patrocinador no se hace responsable si no recibe algún correo electrónico o participación, independientemente del motivo. Cualquier intento por parte de cualquier persona de socavar deliberadamente el funcionamiento legítimo del sorteo causando mal funcionamiento, error, interrupción o daño puede constituir una violación del derecho penal y civil y, en caso de que se produzca tal intento, el patrocinador se reserva el derecho de reclamar daños y perjuicios a dicha persona en la máxima medida permitida por la ley. El hecho de que el patrocinador no haga valer alguno de los términos de estas Normas oficiales o de la Declaración no constituirá una renuncia a dicha disposición ni a ninguna otra. Si, por cualquier motivo, el sorteo no puede llevarse a cabo según lo planeado, o la integridad o viabilidad del sorteo se ve socavada por cualquier evento, incluidos, entre otros, infección por virus informático, errores, manipulación, intervención no autorizada, fraude, acción de los participantes, fallos técnicos, incendio, inundación, epidemia, pandemia, crisis de salud pública (p. ej. , terremoto, explosión, conflicto laboral o huelga, acto de dios o enemigo público, fallo de satélite o de equipo, disturbios o alteración del orden público, guerra (declarada o no declarada), amenaza o actividad terrorista, o cualquier ley, orden o reglamento del gobierno federal, estatal o local, orden de cualquier tribunal o jurisdicción, o por cualquier otra causa que no esté razonablemente bajo el control del patrocinador (cada uno de ellos un evento de «fuerza mayor»), el patrocinador tendrá derecho, a su entera discreción, a abreviar, modificar, suspender, cancelar o dar por terminado el sorteo sin más obligaciones. LEY VIGENTE, ARBITRAJE VINCULANTE Y RENUNCIA A DEMANDAS COLECTIVAS: salvo en la medida en que la legislación federal u otra legislación estatal aplicable lo impida, el sorteo se regirá por las leyes del estado de California, sin que tenga efecto ningún conflicto de disposiciones legales.
